Terms & Conditions

These Terms & Conditions (the "Terms") govern access to and use of the CoHub platform available at cohub.co (the "Platform") and every purchase of goods and every facilitated service arranged through the Platform. By registering an account, submitting an order or otherwise using the Platform, you agree to these Terms.

1. Who We Are

The Platform is owned and operated by Collaboration Hub General Trading L.L.C ("CoHub", "we", "us"), a limited liability company incorporated in the United Arab Emirates and licensed to conduct general trading activities.

2. Definitions

  • "Business Day": Monday to Friday, excluding UAE public holidays.
  • "Customer", "you": the business entity or person using the Platform or purchasing Goods.
  • "Goods": products sold by CoHub through the Platform.
  • "Facilitated Services": services offered or referenced on the Platform which are performed by duly licensed third-party providers and merely arranged, sourced or facilitated by CoHub (see Section 13).
  • "Order": a request to purchase Goods (and/or to arrange Facilitated Services) submitted through the Platform or through CoHub's sales team.
  • "Order Confirmation": CoHub's written confirmation issued after expert review and your final confirmation, at which point a binding contract is formed.
  • "Proforma Invoice": the pre-payment commercial document described in Section 10.1. It is not a tax invoice.
  • "Tax Invoice": the invoice compliant with UAE VAT legislation described in Section 10.2.

3. B2B Platform

3.1 The Platform is intended for business customers in the United Arab Emirates. By ordering, you confirm that you are acting for purposes related to your trade, business or profession and that the individual placing the Order is authorized to bind the Customer.

3.2 Nothing in these Terms excludes rights that mandatorily apply under UAE law, including, where applicable, Federal Law No. 15 of 2020 on Consumer Protection and Federal Decree-Law No. 14 of 2023 on Trading by Modern Technology Means.

4. Account Registration

4.1 You must provide accurate and complete registration information, including legal entity name, trade license details, contact details and — for VAT-registered customers — your TRN, and keep this information up to date.

4.2 You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4.3 We may decline, suspend or close accounts for legitimate reasons, including suspected fraud, misuse, or breach of these Terms.

5. Our Role — Seller of Record for Goods

5.1 For all Goods, CoHub is the seller of record: CoHub sources goods from its supplier network, purchases them in its own name and resells them to you under the CoHub brand. Your contract of sale for Goods is with CoHub only, and all invoices are issued by CoHub.

5.2 References to manufacturers, brands or suppliers are for product identification only; they are not parties to your contract with CoHub.

6. Product Information

6.1 We take reasonable care to ensure descriptions, specifications and images are accurate. Minor variations (including packaging, color rendering and manufacturer revisions) that do not materially affect the Goods' functionality do not constitute a defect.

6.2 Catalog content is an invitation to treat, not a binding offer. Availability, prices and lead times are confirmed during the ordering process described in Section 7.

7. Ordering Process — Expert Review & Final Confirmation

7.1 Order submission. You submit an Order (or request for quotation) through the Platform, specifying items, quantities and delivery details. Submission of an Order constitutes an offer by you to purchase.

7.2 Expert review. Every Order undergoes review by CoHub's supply specialists, who verify item specifications, quantities, stock or sourcing availability, applicable bulk pricing and delivery feasibility. This review is a commercial verification step and does not constitute professional or technical advice. We may contact you to clarify or propose substitutions.

7.3 Updated order summary & Proforma Invoice. Following expert review, CoHub issues an updated order summary and a Proforma Invoice stating final prices, VAT, and the estimated delivery schedule.

7.4 Final confirmation. A binding contract is formed only when, after your approval of the updated order summary, CoHub issues its Order Confirmation. Until then, CoHub may decline or limit any Order (including for stock, sourcing, credit, pricing-error or compliance reasons), and you may withdraw the Order.

7.5 Changes after Order Confirmation require mutual written agreement and may affect price and delivery dates.

8. Prices & Bulk Discounts

8.1 All prices are quoted and payable in UAE Dirhams (AED). VAT at the applicable rate (currently 5%) is itemized separately on quotations, Proforma Invoices and Tax Invoices. Where a listed price does not state its VAT treatment, VAT treatment will be confirmed before your final confirmation.

8.2 Bulk discounts. Volume-based pricing tiers may apply and are confirmed during expert review and reflected in the Proforma Invoice. Discounts apply per Order unless expressly agreed otherwise in writing.

8.3 Quotations and Proforma Invoices are valid for seven (7) days from issue unless stated otherwise.

8.4 In case of an obvious pricing or typographical error, CoHub may correct the error and seek your re-confirmation, or cancel the affected Order prior to delivery with no liability other than to release you from payment for the affected items.

9. Payment — Cash on Delivery (COD)

9.1 Payment is made by Cash on Delivery in AED, for the exact total stated in the Proforma Invoice (including VAT), at the time and place of delivery.

9.2 Payment must be made by the Customer or its authorized representative present at delivery. Our delivery personnel will issue a payment acknowledgment upon collection.

9.3 If payment is not made in full at delivery, the Goods will not be handed over, the delivery will be treated as a failed delivery (Section 11.5), and re-delivery charges may apply.

9.4 Where CoHub enables additional payment methods in the future, their terms will be stated at checkout.

10. Invoicing — Proforma & Tax Invoice

10.1 Before payment, CoHub issues a Proforma Invoice setting out the Goods, prices, VAT and totals. The Proforma Invoice is a commercial document only; it is not a tax invoice and may not be used for input VAT recovery.

10.2 After payment completion and packing of your Order, CoHub issues the official Tax Invoice compliant with Federal Decree-Law No. 8 of 2017 and Cabinet Decision No. 52 of 2017 (Article 59), within the statutory timeframe.

10.3 VAT-registered Customers should provide their TRN and exact legal name before final confirmation so that these details appear on the Tax Invoice. See our VAT & Invoicing Policy for details.

11. Delivery

11.1 We deliver within the United Arab Emirates only, through our logistics partners. Coverage, lead times, bulk-delivery scheduling and site requirements are described in our Delivery Policy, which forms part of these Terms.

11.2 Delivery dates are good-faith estimates unless expressly agreed as binding in the Order Confirmation.

11.3 Risk in the Goods passes to you upon delivery and acceptance at the agreed delivery address. Title passes upon receipt by CoHub of full payment.

11.4 You must ensure lawful access, a safe unloading environment and an authorized representative at the delivery location during the agreed window.

11.5 If delivery fails for reasons attributable to you (absence, refusal without lawful ground, access denial, non-payment), we may charge reasonable re-delivery and handling costs and, after two failed attempts, cancel the Order.

12. Inspection, Returns & Refunds (B2B)

12.1 Inspection at delivery. You must inspect the Goods at delivery. Visible damage, shortages or wrong items must be noted on the delivery note at handover.

12.2 Seven-day inspection period. You must notify us of defects or non-conformities within seven (7) calendar days from the delivery date. Claims notified after this period are accepted only where a passed-through manufacturer warranty or mandatory law applies.

12.3 Remedies. For validated claims, CoHub will, at its election and in the following order of preference where practicable: replace the Goods, repair them, issue a credit note, or refund the price paid for the affected Goods.

12.4 Non-returnable categories. Unless defective or wrongly delivered, the following cannot be returned: perishable goods; consumables with opened packaging or broken seals; hygiene-sensitive items with broken seals; goods cut, mixed, configured or procured to your specification (special orders); software, licenses and activated digital products; and goods damaged after delivery by misuse or improper storage.

12.5 COD refund mechanics. Refunds are made by bank transfer to the Customer's registered corporate bank account or, at your option, by credit note. No cash refunds are made at the door or by delivery personnel. Full details, timelines and the return authorization (RMA) process are set out in our Returns & Refunds Policy, which forms part of these Terms.

13. Facilitated Services

13.1 Services offered or referenced on the Platform (for example installation, maintenance, fit-out or other professional or technical works) are not performed by CoHub. CoHub acts solely in a procurement, sourcing, coordination and facilitation capacity, arranging for such services to be performed by duly licensed third-party providers holding the approvals required under UAE law.

13.2 The licensed provider remains solely responsible for the performance, quality, safety and regulatory compliance of the services. CoHub does not supervise, direct or control the provider's performance and gives no warranty in respect of it, save where mandatory law provides otherwise.

13.3 CoHub's responsibility in relation to Facilitated Services is limited to exercising reasonable care in selecting and coordinating with licensed providers.

13.4 If and when CoHub obtains additional licenses for complementary activities, any services performed directly by CoHub will be expressly identified as such.

14. Warranties

14.1 Where the manufacturer or supplier provides a warranty, CoHub passes the benefit of that warranty through to you and will reasonably assist in warranty claims.

14.2 Except as set out in these Terms and to the extent permitted by law, all other warranties, conditions and representations are excluded. Statutory rights that cannot be excluded under UAE law remain unaffected.

15. Limitation of Liability

15.1 Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under UAE law.

15.2 Subject to 15.1, CoHub is not liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business opportunity, or loss of data.

15.3 Subject to 15.1, CoHub's aggregate liability arising out of or in connection with an Order shall not exceed the total amount paid by the Customer under that Order.

15.4 For Facilitated Services, and subject to 15.1, CoHub's liability is limited as stated in Section 13.

16. Intellectual Property

The Platform, the CoHub name and logo, and all content we create are protected by intellectual property rights owned by or licensed to CoHub. You may use the Platform for legitimate procurement purposes only and may not copy, scrape, reverse engineer or commercially exploit Platform content without our prior written consent. Third-party trademarks remain the property of their owners.

17. Data Protection

We process personal data in accordance with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and our Privacy Policy, which forms part of these Terms.

18. Compliance With Laws

Each party shall comply with applicable UAE laws, including anti-bribery, anti-money-laundering, sanctions and export/import control laws. You warrant that Goods purchased will not be used, sold or re-exported in violation of applicable law.

19. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control (including governmental action, port or customs disruption, epidemic, extreme weather, utility or telecom failure). Obligations are suspended for the duration of the event; if it continues for more than sixty (60) days, either party may cancel affected Orders without liability, save for payment of Goods already delivered.

20. Suspension & Termination

We may suspend or terminate Platform access for material breach of these Terms, unlawful use, or where required by a competent authority. Accrued rights and Sections intended to survive (including 12, 15, 16, 17 and 23) survive termination.

21. Notices

Formal notices must be in writing to the addresses stated in the Order documents or Section 1 (for CoHub) and to your registered account details (for you). Notices by email are effective on the Business Day following transmission absent a delivery failure notice.

22. General

22.1 Amendments. We may update these Terms prospectively; the version in force at Order Confirmation applies to that Order. Material changes will be announced on the Platform.

22.2 Assignment. You may not assign your rights without our written consent. We may assign to an affiliate or in connection with a corporate reorganization, provided your rights are not reduced.

22.3 Severability. If any provision is held invalid, the remainder continues in force.

22.4 No waiver. Failure to enforce a right is not a waiver of it.

22.5 Entire agreement. These Terms, the policies referenced in them and the Order documents constitute the entire agreement for the relevant Order.

22.6 Language. These Terms are published in English and Arabic. In case of inconsistency, the English version prevails to the maximum extent permitted by applicable UAE law.

23. Governing Law & Jurisdiction

These Terms and every Order are governed by the federal laws of the United Arab Emirates and the laws and regulations applicable in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to mandatory jurisdiction rules under UAE law.
